1. About these terms

These Terms of Service ("Terms") govern your use of Record Flag, including our website, alert emails, account dashboard, webhooks and API (together, the "Service"). The Service is operated by [LEGAL ENTITY NAME] ("we", "us" or "our").

By creating an account, setting up a watch, subscribing to a plan or using the API, you agree to these Terms and to our Privacy Policy. If you use the Service for an organization, you agree on its behalf and confirm that you are authorized to do so. If you do not agree, do not use the Service.

2. What the Service does

The Service monitors public government data sources, extracts information from them (for example solicitations, response deadlines and contract awards), matches it against the watches you set up, and delivers alerts by email, webhook or API. Each item includes a quote from, and a link to, the source record. We may add, change or remove sources, features and plans over time.

3. No government affiliation

Record Flag is an independent private service. We are not affiliated with, endorsed by or sponsored by SAM.gov, the U.S. General Services Administration (GSA), USAspending.gov, the U.S. Department of the Treasury, the U.S. Securities and Exchange Commission (SEC), or any other federal, state or local government agency.

Registering in SAM.gov and responding to federal solicitations are free, and you do not need the Service to do either. Using the Service does not register you with any agency, submit any response or bid for you, or give you any advantage in an award decision.

4. Government data and attribution

Most information in the Service comes from public government sources, including SAM.gov (GSA), USAspending.gov (U.S. Department of the Treasury) and SEC EDGAR. Works of the U.S. federal government are generally not protected by copyright in the United States, and we do not claim ownership of government data. We attribute each item to its source and link to the official record.

Some records carry restrictions set by the source or by third parties (for example, certain Dun & Bradstreet data in older federal award records). We exclude or limit such data, and you agree not to use the Service to redistribute data in a way that violates a source's terms. Contact details of government personnel that appear in public notices are shown only so you can respond to that notice; you may not use them for unrelated marketing.

5. Accuracy and timeliness

Public records can be incomplete, late, amended or wrong at the source. Our extraction is automated, including with machine-learning models, and can make mistakes or miss items. We quote and link every item so you can check it, but we do not guarantee that the Service is accurate, complete, current or uninterrupted, or that it will find every record that matches your watch.

Always read the full official record, including every amendment, before you rely on it. You are solely responsible for meeting response deadlines and all other requirements of any solicitation. We are not responsible for a missed deadline, a lost bid or any other decision you make using the Service.

6. Not legal, financial or professional advice

The Service provides information drawn from public records. It is not legal, procurement, accounting, tax, investment or financial advice, and nothing in it is a recommendation to bid on, buy, sell or hold anything. Using the Service does not create a fiduciary, advisory or attorney-client relationship. Consult a qualified professional about your own situation.

7. Accounts

You must be at least 18 years old and able to form a binding contract. The Service is intended for business and professional use. Give us an email address that you control: we sign you in with one-time links sent to it, so anyone who can read that inbox can sign in to your account. Keep your email account secure. You are responsible for activity under your account and your API keys. Tell us promptly at [CONTACT EMAIL] if you believe your account or a key has been compromised.

8. Plans, billing and automatic renewal

The free plan costs nothing. Paid plans (currently Individual, Team and API) are monthly or yearly subscriptions, billed in advance through our payment processor, Stripe. The price, billing frequency and what is included are shown before you subscribe.

Paid subscriptions renew automatically at the end of each billing period (every month, or every year on yearly billing) at the then-current price until you cancel. You can cancel online at any time (see section 9).

9. Cancellation and refunds

You can cancel a paid plan at any time online, from the billing section of your account; no phone call or email is needed. Cancellation takes effect at the end of the current billing period. You keep paid features until then, and your account then moves to the free plan.

Except where the law requires otherwise, payments are non-refundable, and we do not give refunds or credits for partial months or unused requests. To close your account entirely, email [CONTACT EMAIL] from the address on the account; our Privacy Policy explains what we keep afterwards.

12. Email and webhooks

We send the alerts you ask for, plus service messages such as sign-in links, receipts, security notices and changes to these Terms. Alert and marketing emails include an unsubscribe link and our postal address, and we honor unsubscribe requests promptly and always within 10 business days. Service messages are part of having an account and continue while your account is open. If you set up webhook delivery, you are responsible for the endpoints you choose and for the security of what we send to them.

13. Your content

You keep ownership of what you put into the Service, such as watch names, codes, keywords and settings ("Your Content"). You allow us to use Your Content only to run, secure, support and improve the Service. Please do not put confidential or sensitive information in watches.

14. Our property

The Service, including its software, design, data structure, summaries and branding, belongs to us and our licensors. These Terms do not give you any right to use our name or marks. Public government data stays public: nothing in these Terms limits your right to get it from the original source. If you send us feedback, we may use it without any obligation to you.

15. Third-party services

The Service links to and relies on third-party websites and services, including government websites and Stripe. We are not responsible for them, and their own terms and privacy policies apply.

16. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY AND QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

17. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW: (A) WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, CONTRACTS, BIDS, BUSINESS OPPORTUNITIES, DATA OR GOODWILL, EVEN IF WE WERE TOLD THEY WERE POSSIBLE; AND (B) OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR US $100.

Some jurisdictions do not allow some of these exclusions or limits, so they may not all apply to you.

18. Indemnity

If you use the Service for a business, you will defend and indemnify us against third-party claims arising from your misuse of the Service, your breach of these Terms, or your violation of law or of anyone's rights, and pay the resulting losses and reasonable costs, including attorneys' fees.

19. Suspension and termination

You may stop using the Service at any time. We may suspend or end your access if you break these Terms, if your use creates risk or legal exposure for us or others, if the law requires it, or if we discontinue the Service. If we discontinue a paid Service for reasons other than your breach, we will refund prepaid fees for the unused part of the billing period. Sections that by their nature should survive termination, including those on government data, accuracy, advice, our property, warranties, liability, indemnity and governing law, survive.

20. Changes to these terms

We may update these Terms. We will post the new version on this page and update the date at the top. For material changes, we will give at least 30 days' notice by email or in the Service before they take effect. If you keep using the Service after that, you accept the new Terms; if you do not agree, cancel before they take effect.

21. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. Before filing a claim, each party agrees to contact the other and try in good faith to resolve the dispute informally for at least 30 days. Any lawsuit relating to the Service must be brought in the state courts located in [COUNTY] County, California, or in the federal court for the district that includes that county, and both parties consent to the jurisdiction and venue of those courts. Either party may bring a qualifying claim in small claims court.

22. General

These Terms, together with the Privacy Policy and any plan details shown when you subscribe, are the entire agreement between you and us about the Service. If any part is found unenforceable, the rest stays in effect. If we do not enforce a provision, that is not a waiver. You may not transfer these Terms without our consent; we may transfer them as part of a merger, acquisition or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control, including outages of government data sources.
